1. Acceptance of Terms

By accessing or using NiuxAI's healthcare data interoperability platform and API services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our Services.

These Terms apply to all users, including individuals and organizations accessing our API.

2. Description of Services

NiuxAI provides healthcare data conversion and interoperability services, including but not limited to:

• HL7 v2.x to FHIR R4 conversion
• CDA to FHIR conversion
• X12 and NCPDP format processing
• CSV and JSON to FHIR mapping
• Healthcare data validation and normalization

3. Account Registration

To use our Services, you must:

• Create an account with accurate and complete information
• Maintain the security of your API keys and credentials
• Promptly notify us of any unauthorized access
• Be at least 18 years old or have legal authority to bind your organization

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble our software
• Resell or redistribute API access without authorization
• Exceed rate limits or abuse the API in any way
• Use the Services to process data you don't have rights to process

5. Healthcare Data Responsibilities

5.1 Your Responsibilities

When using our Services to process healthcare data, you represent and warrant that:

• You have obtained all necessary consents and authorizations to process the data
• You comply with all applicable healthcare regulations (HIPAA, GDPR, etc.)
• You will implement appropriate security measures in your systems
• You will not transmit data in violation of any laws or regulations

5.2 Our Commitment

NiuxAI commits to:

• Process data only as necessary to provide the Services
• Not store or retain any healthcare data after processing
• Maintain industry-standard security measures
• Provide Business Associate Agreements (BAA) upon request for HIPAA compliance

6. Pricing and Payment

Our Services are offered on a pay-per-use basis or through subscription plans. By using paid Services:

• You agree to pay all applicable fees as described in your plan
• Fees are non-refundable except as required by law
• We may change pricing with 30 days notice
• Unpaid accounts may be suspended or terminated

7. API Usage and Rate Limits

API usage is subject to rate limits based on your subscription tier. Exceeding limits may result in:

• Temporary throttling of requests
• Additional charges for overage
• Account suspension for repeated violations

8. Intellectual Property

All intellectual property rights in the Services, including software, APIs, documentation, and trademarks, are owned by NiuxAI or our licensors. You receive a limited, non-exclusive, non-transferable license to use the Services according to these Terms.

You retain all rights to your data. We claim no ownership over healthcare data processed through our Services.

9. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Suspend services for emergency maintenance
• Modify or discontinue features with reasonable notice

Service Level Agreements (SLAs) are available for Enterprise customers.

You agree to indemnify and hold harmless NiuxAI and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement:

• You: By discontinuing use and closing your account
• Us: For violation of these Terms, with or without notice
• Either party: For convenience with 30 days written notice

Upon termination, your right to use the Services ceases immediately. Provisions that should survive termination (such as limitation of liability) will remain in effect.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Continued use of the Services after changes constitutes acceptance of the modified Terms.
